These Terms and Conditions ("Terms") govern your access to and use of the Assetlem platform, website, and related services ("Services") provided by Assetlem ("Company," "we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Assetlem, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of yourself or your organization, and agree to comply with these Terms and our Privacy Policy.

2. Description of Services

Assetlem provides a digital asset management platform that enables businesses to centralize, monitor, and optimize their digital assets including domains, software subscriptions, licenses, business accounts, and digital infrastructure. Services are provided on a subscription basis and subject to the plan you have selected.

3. Account Registration

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• One person or entity may not maintain more than one free trial account
• You are responsible for all activities that occur under your account

4. Subscription and Payment

4.1 Subscription Plans

Assetlem offers Starter, Business, and Enterprise subscription plans. Plan details, features, and pricing are available on our Pricing page and may be updated from time to time with appropriate notice.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as stated in our Refund Policy
• We reserve the right to modify pricing with 30 days advance notice
• Failure to pay may result in suspension or termination of your account

4.3 Free Trial

We offer a 14-day free trial for new accounts. No credit card is required. Upon trial expiry, continued access requires a paid subscription.

5. Acceptable Use

You agree not to use Assetlem to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of third parties
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the platform for any fraudulent, deceptive, or abusive purposes
• Reverse engineer, decompile, or attempt to extract source code
• Resell or sublicense the platform without written permission

6. Intellectual Property

The Assetlem platform, including all software, designs, content, trademarks, and documentation, is owned by Assetlem and protected by intellectual property laws. These Terms do not grant you any ownership rights — only a limited, non-exclusive license to use the Services as intended.

You retain ownership of all data and content you submit to the platform. By submitting content, you grant Assetlem a limited license to process and display such content solely to provide the Services.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information and to use such information only for purposes of fulfilling obligations under these Terms.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. You are responsible for ensuring your use of Assetlem complies with applicable data protection laws in your jurisdiction.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSETLEM'S LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ASSETLEM IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

11. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Services will cease. You have 30 days following termination to export your data. We may terminate accounts that violate these Terms without notice.

12. Governing Law

These Terms are governed by applicable law. Disputes shall be resolved through binding arbitration, except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
